These terms of use are entered into by and between you and Delancey Street Pallet Traders LLC d/b/a PalletTrader (“PalletTrader,” “we,” or “us”). The following terms and conditions, together with any policies and documents they expressly incorporate by reference (collectively, “Terms of Use”), govern your access to and use of www.pallettrader.com, including any content, functionality, and services offered on or through www.pallettrader.com (the “Website”), whether as a guest or a registered user.

By using or accessing the Website or using our services or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use, our Privacy Policy, found at Privacy Policy. page, and all other policies and documents incorporated herein by reference. By using this Website, you represent and warrant that you are of legal age to form a binding contract with PalletTrader and meet all of the foregoing eligibility requirements.  If you create or use an account on behalf of a business entity, you represent that you are authorized to act on behalf of such entity and bind the entity to these Terms of Use.  If you do not meet all of these requirements, you must not access or use the Website.  

Please be advised that these Terms of Use contain provisions that govern how claims you and we have against each other are resolved.  

2. About Delancey Street Pallet Traders.  Delancey Street Pallet Traders is a neutral marketplace allowing you and other users to offer, sell and buy pallets and other products in a variety of pricing formats and locations throughout the United States (each, individually, a “Transaction” and, collectively, “Transactions”).  Please be advised that each Transaction is directly between you and the other user.   PALLETTRADER IS NOT A PARTY TO THE TRANSACTION AND IS NOT A SELLER OR A TRADITIONAL AUCTIONEER.

Any information or guidance that we provide as part of our services to you (such as pricing, listing, specifications and sourcing) is solely informational and it is solely up to you if you choose to follow such information.  While PalletTrader may help facilitate Transactions and the resolution of disputes, PalletTrader has no control over and does not guarantee the existence, quality, safety or legality of the pallets or other products advertised; the truth or accuracy of yours or any other users’ content or listings; the ability of the seller or buyer to consummate a Transaction; or the legal aspects of any Transaction.  It is your sole responsibility, as a user of the Website and our services, to check the credentials of your counterparty and the existence, quality and safety of the pallets or other products involved in each Transaction. 

3. Changes to the Terms of Use; Amendments

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. 

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.  

4.  Accessing the Website; Hardware and Software Requirements; and Account Security

We reserve the right to withdraw this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. The Website and its entire contents, features, and functionality (including, but not limited to, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PalletTrader, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The PalletTrader name, the PalletTrader trademarks, the PalletTrader logo, and all related names, logos, product and service names, graphics, designs, and slogans are trademarks of PalletTrader or its affiliates or licensors (collectively, the “Marks”). You must not use, copy, reproduce, republish, or modify such Marks without the prior written consent of PalletTrader. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

The following terms apply to any and all software (including updates and upgrades to such software and any related documentation) we make available to you in connection with the Website (the “PalletTrader Software”):  You may use the PalletTrader Software solely for purposes of enabling you to use the Website as provided by PalletTrader and as permitted by these Terms of Use and by the Terms and Conditions for Buyers and Sellers (the “Terms and Conditions”).  You may not incorporate any portion of the PalletTrader Software into other programs or compile any portion of the PalletTrader Software in combination with other programs or otherwise copy, modify, create derivative works of, or distribute the PalletTrader Software in whole or part.  The PalletTrader Software is the property of PalletTrader or PalletTrader’s software supplier and is protected by United States and international copyright laws.  You may not reverse engineer, decompile, disassemble, tamper with, or bypass any security associated with the PalletTrader Software, in whole or in part.

A designated entity (the “Payment Entity ”) manages payments for all Transactions.  The Payment Entity is currently Stripe, Inc.  PalletTrader may change the Payment Entity from time to time.  Regardless of whether or not PalletTrader or the Payment Entity manages a Transaction, each Transaction is directly concluded between the seller and the buyer, and PalletTrader is not a party to any Transaction.

23. Limitation on Liability

IN NO EVENT SHALL PALLETTRADER’S CUMULATIVE LIABILITY UNDER THESE TERMS OF USE EXCEED THE LESSER OF:  (A) THE TOTAL FEES PAID BY YOU TO PALLETTRADER DURING THE PRECEDING SIX (6) MONTHS; OR, (B) ONE THOUSAND DOLLARS ($1,000.00).

24. Release

If you have a dispute with one or more users, you release us (and our affiliates and subsidiaries, and our and their respective officers, directors, employees, contractors, and agents) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.  IN ENTERING INTO THIS RELEASE YOU EXPRESSLY WAIVE ANY PROTECTIONS (WHETHER STATUTORY OR OTHERWISE) THAT WOULD OTHERWISE LIMIT THE COVERAGE OF THIS RELEASE TO INCLUDE ONLY THOSE CLAIMS WHICH YOU MAY KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF AGREEING TO THIS RELEASE.

25. Indemnification

You agree to defend, indemnify, and hold harmless PalletTrader, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website including, without limitation, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.

26. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of New Jersey without regard to principles of conflicts or choice of law that would defer to the substantive laws of any other jurisdiction.

Any suit, claim, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States located in Newark, New Jersey or the courts of the State of New Jersey, located in Middlesex County, New Jersey, although we retain the right to bring any suit, claim, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.  You and we each waive any right to a jury trial.

27. Prohibition of Class and Representative Actions and Non-Individualized Relief

YOU AND PALLETTRADER AGREE THAT YOU WILL NOT BRING CLAIMS AGAINST PALLETTRADER AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, OR REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING.  

28. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

No waiver by PalletTrader of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PalletTrader to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

In the event that any portion of these Terms of Use is held invalid or unenforceable for any reason, said invalidity or unenforceability shall not affect the other portions of these Terms of Use, and these Terms of Use shall be carried out as if such invalid or unenforceable provision, or part thereof, had been reformed, and any court of competent jurisdiction is authorized to so reform such invalid or unenforceable provision, or part thereof, so that it would be valid, legal and enforceable to the fullest extent permitted by applicable law. 

30. Entire Agreement

The Terms of Use, our Privacy Policy, and the Terms and Conditions for Buyers and Sellers constitute the sole and entire agreement between you and PalletTrader regarding the Website and the services provided by PalletTrader and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and the services provided by PalletTrader.
